The report is due every year, on the first day of the anniversary month of the LLC’s formation. For example, if you form your LLC on March 15, 2025, the first Annual Report is due on March 1, 2026, and it’s due again every March 1 thereafter.

You don’t have to wait for the due date. You can file up to one year in advance. You can file your 2026 Annual Report and pay your 2026 license tax in 2025. The Wyoming online system keeps track of which years have been filed and paid and which years are eligible for filing.

There is a license tax of $60 or 0.02 percent of total assets owned in Wyoming, whichever is greater. For an LLC with assets of $300,000 or less, the $60 amount applies. An LLC with assets of $1 million, for example, would pay 0.02 percent times $1 million, or $200. There is also a small convenience fee if you file online, ranging from $2.25 to $8.95.

How to file an annual report in Wyoming

The Wyoming annual report must be completed online. Once it’s filled out, you may choose to either submit it online or to print it and mail it. If your Annual Report fee, i.e., your license tax, is more than $500, you may not submit the form online but are required to mail it.

You will need to know your Secretary of State filing ID. If you do not know it, you can look it up on the first page of the annual reporting screens. Enter your LLC name and press the Search key, and you will find details about your LLC that include the filing ID.

Once you have the correct LLC, click Next to continue.

LLC addresses

Review the LLC’s mailing address. While the SOS sends most information by email, they may sometimes use this address for postal mail. If you need to make changes, do so. Then click Next to continue.

Remember that legal and court documents will not go to this LLC address but rather to the address of your registered agent. In some states, you can change the registered agent during the annual reporting process, but you can’t do that in Wyoming. It’s a completely separate process.

The next address is the LLC’s Principal Office Address. If your LLC has a building, this is usually the primary business address. It can also be your home address. There are no restrictions on the address; it can be any address, and it doesn’t even have to be in Wyoming.

There is also an email address. This is where the SOS will send Annual Report reminders. There can be multiple email addresses, separated by a semicolon.

License tax

If your LLC has no assets in Wyoming, you can enter 0’s and click Next. If you do have such assets, list the total value. Click Calculate for the fee (tax) amount. Then click Next to proceed.

Wyoming assets include cash, raw materials, inventory, real estate, machinery, and equipment that are located in the state. Assets also include securities like stocks and intangible assets like patents and trademarks. It can be harder to determine their value and whether they are actually in Wyoming. The location of securities is typically the state where a bank or brokerage holds them. The location of intangible assets is typically the state the business is run from. Filing the report

Review your report for accuracy. Click the relevant section links to make any needed changes. If you are filing online, click Continue and follow the instructions. If you are filing by mail, click Print. If your license tax is more than $500, you must file by mail.

Check the Certify box to agree to terms. Enter your name and email address. Click Next. Your payment amount will appear, consisting of the report fee plus the convenience fee. Click Start Payment Process and enter your card information. The Wyoming SOS accepts Visa and MasterCard credit and authorized debit cards. Click Process, and you’re done.

Your LLC Annual Report will be processed and approved immediately. Your filed Annual Report will be viewable on the SOS Business Entity Search screen.

Filing by mail

When you click Print, a PDF of your Annual Report will be downloaded to your computer. Print the form, sign it, and enter your name. Prepare a check or money order for the license tax, payable to the Wyoming Secretary of State. Mail the report and payment to:

What Happens if you fail to file on time?

While there is no late filing fee, your LLC will be considered delinquent on the second day of the month after the due date if you have not yet filed. If your report was due March 1, you will be delinquent on April 2. If you have not filed within 60 days of the due date, your LLC will be administratively dissolved. You will not be able to legally do business under that name in Wyoming.

If your LLC is dissolved, you have two years to apply for reinstatement. There is a $100 reinstatement fee in addition to the license tax for any missing annual reports.
