Part of forming your LLC in Wyoming is naming a registered agent. In fact, all 50 states and the District of Columbia require LLCs to appoint a registered agent as part of doing business. States may have slightly different requirements, so it is important for you to pay close attention to Wyoming’s specific requirements.
The penalties for failing to appoint a registered agent can be stiff. The Wyoming Secretary of State notes that the “Failure to maintain a registered agent results in the dissolution or revocation of the business entity.”
The registered agent in Wyoming is charged with the responsibility of receiving all legal notices. For example, the registered agent is responsible for receiving the following documents and informing your business when these notices are received:
You cannot name just anyone as your registered agent. The following requirements must be met.
You may use a family member or a friend as your registered agent as long as that person meets all the requirements for serving as a registered agent for an LLC in Wyoming.
In Wyoming, the registered agent must be named in the LLC formation documents. Whether the LLC Articles of Organization are filed online or by mail, the documents must include an application for Registered Agent Registration on a form provided by the Wyoming Secretary of State with the following information to be provided.
A member of the LLC may be a registered agent, but this is not automatic. Just being a member of an LLC does not make a person a registered agent. That person must meet the same requirements as all registered agents, submit an application, and be named in the Articles of Organization as the registered agent.
You may submit your documents online. The Wyoming Secretary of State makes it easy to do this. You submit all of your LLC documents online, including the name of your registered agent and the agent’s consent.
If you choose to submit your forms through regular mail, you can do so by mailing your documents to:

You can find a form online for Appointment of New Registered Agent and Office. You can print it out and fill it in along with the new consent form of the new agent. This form cannot be submitted online and must be mailed along with a $5.00 check or money order payable to the Wyoming Secretary of State to:

You can be your own registered agent in Wyoming if you meet all the qualifications. You may choose not to be because there may be some disadvantages. For example, you will need to be available at your Wyoming address during regular business hours for the acceptance of service of process and other legal documents.
You may be involved in a business meeting when a process server shows up, and you have to stop what you are doing to accept the legal documents. Or, you may need to attend a meeting across town and no one is at the address to accept service of process. This may result in state penalties for not being available as required. It may benefit you to have a Wyoming Register Agent Service as your registered agent.
If your registered agent slips up and is not available to accept service of process, or accepts the legal documents but fails to forward them on to you, your business can be in real legal jeopardy. You may be unaware you have been sued and lose your case when a default judgment is entered because you failed to respond to a lawsuit you did not even know existed. This is just one of the perils of having a single person be your registered agent.
Naming a Wyoming Registered Agent Service offers you many benefits. It will give you peace of mind knowing that you are dealing with a professional, experienced service. You can maintain your privacy and know your business is in compliance with Wyoming State law. You maintain flexibility and have less paperwork.
A Wyoming registered agent service always has someone available to accept the service of legal documents. The service knows what the expectations are and will bring you peace of mind just knowing the service is doing its job for you,
While the service acts as your registered agent, you are free to conduct your business, including travel out of the state, without concerns that you might miss receiving important documents.
Wyoming law makes it clear that if you do not have a registered agent who meets all the legal requirements, your business will be dissolved. Regulations sometimes change, and registered agent services keep up to date on any changes so you know you will always be in compoiance.
The service also keeps all your LLC formation documents. If you need a backup document, the service will make it available to you.
A registered agent service is generally available 365 days a year. This means you do not have to be available at all. This frees you up to focus on your business without the need to be tied down to regular business hours as you would be if you acted as your own registered agent.
You do not have to worry about a designated business associate, friend, or family member as your registered agent. Emergencies arrive and, as luck sometimes has it, your business will suffer from state penalties if that person leaves the designated address for some reason just as important legal papers are trying to be delivered.
If you operate your business in Wyoming and other states, it is possible to find a registered agent service that does business in those states, so you have one service that does the work for you in all states where you do business.
A registered agent service will handle all necessary paperwork. Generally, the service will scan your LLC documents to keep them in a digital file with easy access when you need them.
Wyoming law requires you to have a registered agent who has a physical street address in the state. The agent must always be available during regular business hours to accept service of legal documents, tax forms, and other official government documents.
You can be your own registered agent, but this means you must always be available during business hours. This takes away any flexibility you have of leaving the business to attend meetings, travel, or simply take a vacation.
You can appoint anyone you want to be your registered agent, such as a business associate, friend, or family member. They must comply with all the legal requirements applicable to registered agents, maintain a physical street address in the state, and be available during business hours.
A registered agent service will comply with all state requirements and may be able to be your agent in any state where you do business. You can sleep peacefully knowing that the service knows exactly what is expected and will comply with the law even as it changes.
A registered agent is a person or a registered agent service that you designate as your agent for receiving legal documents, tax information, and government documents.
An agent, if an individual, must be someone at least 18 years old, a resident of Wyoming, and must have a physical street address in the state. It may also be a business entity such as a registered agent service that is registered and in good standing with the Wyoming Secretary of State.
A registered agent keeps certain required information on site at the physical address used by the agent. This includes information about key individuals in the business, including their names, their role in the business, and their physical address and phone number.
The agent must have a “communications contact” who is available to them who is authorized by the business to receive communications from the agent. The agent must have the address and phone number of that person who is not an employee of the agent but of the business.
Yes. The Wyoming Secretary of State provides you with an “Appointment of New Registered Agent” form. You must print the form and fill it out. You may not submit it online but must mail it with a $5.00 check or money order to:
